Surge Solutions provides managed IT services including but not limited to helpdesk support, networking, cybersecurity, server management, cloud administration, VoIP/telecom, data backup, onsite and remote support, and consulting. Service details are defined per client in a Service Agreement, Quote, or onboarding documentation.
Unless explicitly stated in writing, excluded services include: hardware replacement, third-party carrier/vendor fees, after-hours emergencies, system rebuilds, custom scripting, cybersecurity incident remediation, and any data recovery exceeding backup restorations. Clients maintaining outdated, unsupported, failing, or insecure systems acknowledge that Surge Solutions cannot guarantee uptime, security, or performance. SLAs are void for unsupported systems, and additional time spent is billable.
Clients must follow Surge Solutions’ minimum security requirements, including but not limited to: MFA, secure passwords, supported OS versions, antivirus/EDR, approved firewalls, and required updates. Failure to follow recommendations voids liability on Surge Solutions’ part for breaches, downtime, or data loss.
Surge must retain appropriate administrative access to systems, networks, portals, and devices to deliver services. Removing or modifying Surge admin accounts is a breach of this Agreement and may result in suspension of services. Admin rights transfer only after all invoices, fees, and equipment returns are complete.
Services are billed in advance unless otherwise stated. Month-to-month subscriptions renew automatically. Surge may modify pricing with 30 days' notice. Projects and hardware may require deposits.
Services may be suspended or terminated for nonpayment. All balances remain due.
All payments are final and non-refundable.
Any bank or card dispute initiated without first contacting Surge Solutions constitutes an immediate breach. Surge may suspend or terminate services immediately. Administrative penalties include: $150 chargeback administration fee, recovery of bank penalties, and 1.5% monthly interest on disputed amounts.
Surge Solutions uses industry-standard security practices but cannot guarantee absolute protection from cyber incidents, zero-day events, ransomware, hardware failure, or user error. Clients declining backup solutions assume full responsibility for data loss. Surge may refuse work on systems without backups.
Surge is not liable for outages, disruptions, or security issues caused by Microsoft, Google, ISPs, telecom carriers, software vendors, or any external provider.
By using Surge Solutions’ services, clients consent to installation and operation of monitoring agents, remote access tools, antivirus/EDR management, automated patching, event logging, and security scripting. All RMM tools remain Surge property and must not be altered or removed except by Surge.
All telephone numbers provisioned or hosted by Surge Solutions remain under Surge’s control until all invoices, penalties, and equipment are paid/returned.
All firewalls, security appliances, and loaned hardware remain property of Surge Solutions unless purchased in writing. Equipment must be returned within 10 business days upon service termination or replacement fees and penalties apply.
Clients transitioning to another IT provider agree to a Transition/Offboarding Fee equal to at least one month of services. Records and credentials are not released until all balances are paid.
$250 disconnection fee per location and $250 reconnection fee per location. Reconnection occurs only after all debts, fees, and security checks are complete.
Harassment, abuse, threats, or hostile behavior toward Surge staff may result in immediate suspension or termination of services. All outstanding balances become immediately due.
Surge Solutions’ maximum liability is limited to service fees paid in the previous 30 days. Surge is not liable for lost profits, data loss, business interruption, or consequential damages.
Clients indemnify Surge against claims resulting from misuse, employee actions, policy violations, or failure to follow recommendations.
Disputes will be handled through mediation or binding arbitration in Illinois.
Surge is not liable for events outside its control including natural disasters, utility failures, war, or outages.
By using Surge Solutions’ services - whether or not a contract is signed - the client accepts the full Terms of Service.
Continued use of services constitutes implied acceptance under Illinois law.
